Our Approach

Careful planning from the outset is essential to a successful sale, merger or acquisition. Our role is to support the planning process by creating a working checklist that will serve as a roadmap through the transaction. Buying or selling a business begins with a letter of intent (LOI) between the buyer and seller, and a threshold question for the LOI is whether the business entity or the assets of the business will be sold. Each approach has different tax consequences. Organizing essential business records for due diligence, such as payroll records and financial statements, is an important step that facilitates trust, saves time and reduces costs for all parties. If our client is the buyer, we recommend thorough due diligence, and we expect our client to play an active role in that process. Concurrently with due diligence, a stock purchase agreement, asset purchase agreement or merger agreement will be negotiated. This is a process that takes time and patience, as the representations, warranties and disclosures in these agreements require careful attention of all parties to the transaction. Finally, we will conduct the closing of the sale, merger or acquisition, prepare and file the necessary document with the Texas Secretary of State, and assist in the transfer of assets or ownership interests.
